1. Acceptance of Terms

By accessing or using the Ovationly application and website (the “Service”), operated by CNTRL, Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. User Content

4.1 Ownership

You retain all ownership rights in the content you upload to the Service, including photos, videos, ticket stub images, text, and other materials (“User Content”). We do not claim ownership of your User Content.

4.2 License Grant

By uploading User Content, you grant CNTRL, Inc. a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, modify (for technical purposes such as generating thumbnails, compressing images, and transcoding video), and distribute your User Content solely for the purpose of operating and providing the Service. This license terminates when you delete your User Content or your account.

4.3 Public Content

If you set a memory's visibility to “public,” it will be accessible to anyone with the link and may appear in search engine results. Public memories include Open Graph metadata for social media previews. You are solely responsible for the content you make public.

4.4 Content Restrictions

You agree not to upload User Content that:

  • Infringes any third party's intellectual property or proprietary rights
  • Contains unlawful, defamatory, obscene, or harmful material
  • Contains malware, viruses, or other harmful code
  • Impersonates another person or entity
  • Violates any applicable law or regulation
  • Exploits or harms minors in any way

We reserve the right to remove any User Content that violates these Terms without prior notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated means (bots, scrapers, crawlers) to access the Service without our prior written permission
  • Transmit spam, chain letters, or other unsolicited communications
  • Harass, threaten, or abuse other users of the Service
  • Create multiple accounts for deceptive purposes

6. Third-Party Services

The Service integrates with third-party services including Spotify, Setlist.fm, ESPN, Bandsintown, ACRCloud, and Mux. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services. If you connect your Spotify account, we access only the data necessary to create playlists and search tracks on your behalf.

7. Intellectual Property

The Service, including its design, code, features, and branding (excluding User Content), is the property of CNTRL, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF EVENT DATA, SETLISTS, SCORES, OR OTHER INFORMATION RETRIEVED FROM THIRD-PARTY SOURCES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CNTRL, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless CNTRL, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at ovationly@gmail.com. Upon termination, your right to use the Service will immediately cease. Sections 4 (User Content), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) will survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its rules. Arbitration shall be conducted on an individual basis only; class actions and class arbitrations are not permitted. The arbitration shall take place in the State of Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Miscellaneous

  • Entire Agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between you and CNTRL, Inc. regarding the Service.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver — Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment — You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
